IMPORTANT NOTICE REGARDING AUTOMATIC RENEWAL
Your Sally subscription automatically renews at the end of each Subscription Period for an additional period of equal duration, unless the Client notifies of its intention not to renew at least 30 days before the expiration date. To cancel automatic renewal, the Client must send an email to legal@heysally.io.
1. Parties, Identification and Definitions
1.1 Definitions
For the purposes of these Terms, the following terms shall have the meanings indicated below:
- Sally or Provider EUREKA INNOVATIONS LLC, EIN 38-4325432, with address at 254 Chapman Rd, Ste 208 #18613, Newark, Delaware 19702, USA, owner and operator of the heysally.io platform.
- Client the individual or legal entity that registers on the platform and contracts the Services.
- Authorized User any individual who accesses the platform on behalf of the Client under their credentials or contracted licenses.
- Platform the software-as-a-service (SaaS) accessible at heysally.io and its subdomains, including all its features, updates, and associated documentation.
- Subscription Period the contracted term, whether monthly or annual, as set forth in the chosen plan or Order Form.
- Order Form commercial document signed between Sally and the Client that details the contracted plan, number of users, credits, price, duration, and specific conditions.
- Platform-Generated Information" (PGI): data, analyses, prospect lists, and reports generated from the Client's use of the platform.
- Subscription Fees the amounts to be paid by the Client in accordance with the contracted plan or Order Form.
2. Service Description
Sally is a SaaS platform for sales intelligence and sales automation that allows B2B companies to identify, prioritize, and contact prospects through artificial intelligence and multichannel workflows. Its main features include:
- AI-assisted prospecting with access to contact databases from third-party data providers.
- Automation of multichannel communication flows (email, LinkedIn, and other channels).
- Import and management of the Client's own contact data (via CSV, Excel, or CRM integrations).
- Outreach campaign performance analytics.
3. Registration and Account
To access Sally, the Client must register by providing truthful, complete, and up-to-date information. The Client is solely responsible for maintaining the confidentiality of their access credentials and for all activities performed under their account.
The Client agrees to:
- Provide accurate and up-to-date registration data at all times.
- Protect their access credentials and not share them with unauthorized third parties.
- Notify Sally immediately of any unauthorized use of their account via legal@heysally.io.
- Be at least 18 years of age or have the legal age to contract in their jurisdiction.
- Revoke access of employees or collaborators who leave the organization within a maximum of 24 hours of their departure.
Sally reserves the right to suspend or cancel accounts that provide false information, violate these Terms, or in which fraudulent or illegal activity is detected.
4. License to Use
4.1 License During the Subscription Period
Subject to compliance with these Terms, payment of the Subscription Fees, and any specific conditions set forth in the applicable Order Form, Sally grants the Client a non-exclusive, limited, non-transferable, non-sublicensable, and revocable license to access and use the Sally platform during the Subscription Period, solely for the Client's internal commercial purposes. The number of Authorized Users and any specific usage limitations shall be as indicated in the contracted plan or, where applicable, in the Order Form.
4.2 License to Platform-Generated Information
The Client may retain and use the Platform-Generated Information (prospect lists, reports, analyses) generated during the Subscription Period even after it ends, for its internal purposes. This license to the PGI does not grant the Client any rights over the underlying data sources, methodologies, or Sally's intellectual property.
4.3 Restrictions
This license does not imply the transfer of any ownership rights over the platform. The following is expressly prohibited:
- Copying, modifying, adapting, or creating derivative works of the platform.
- Reverse engineering, decompiling, or disassembling any component of the software.
- Reselling, sublicensing, or transferring access to Sally to third parties without express written authorization.
- Using the Services to build a product or service that directly competes with Sally.
- Sharing access credentials among multiple Users or allowing simultaneous use of the same license by multiple individuals, unless the applicable Order Form expressly authorizes shared access or floating license arrangements.
5. Acceptable Use
The Client agrees to use Sally in a lawful, ethical manner and in accordance with these Terms. The use of the platform for the following is expressly prohibited:
- Violating any applicable law or regulation, including data protection, privacy, and electronic communications regulations.
- Sending unsolicited communications in violation of applicable anti-spam legislation in the recipient's jurisdiction (including, without limitation, the US CAN-SPAM Act, Canadian CASL, or any equivalent regulation).
- Harassing, threatening, or discriminating against individuals or legal entities.
- Attempting to access third-party systems, networks, or data without authorization.
- Introducing viruses, malware, or any harmful code into the platform.
- Performing massive scraping or automated data extraction from the platform beyond the intended features.
- Impersonating individuals or entities.
- Using Sally for activities that promote violence, hatred, discrimination, or illegal activities.
The Client is solely and exclusively responsible for the content of communications sent through Sally, for the targeting of their contact lists, and for compliance with all applicable legal obligations regarding commercial communications.
6. Third-Party Data and External Platforms
6.1 Contact Data from External Providers
Sally may provide access to business contact data (name, company, job title, professional email, phone, etc.) obtained through third-party data providers that operate under their own privacy policies, terms of use, and regulatory compliance frameworks. Sally selects these providers with reasonable diligence criteria but acts exclusively as a technological intermediary in accessing such data and cannot guarantee:
- The accuracy, completeness, or timeliness of the data at the time the Client uses it, given that business contact information is dynamic by nature.
- That the data supplied by the providers is adequate or sufficient for the specific use the Client intends to make of it in their jurisdiction or in that of the recipients of their communications.
- Uninterrupted availability of such data, which may be affected by changes in external provider policies.
The Client is the data controller for data protection purposes and assumes full responsibility for the use of contact data obtained through Sally. This includes, without limitation, verifying that it has a valid legal basis to contact each recipient in their jurisdiction, respecting opt-out or objection requests received, and complying with applicable anti-spam and data protection regulations. Sally assumes no liability arising from the Client's use of this data.
6.2 Third-Party Platforms
Sally may connect to or interact with third-party platforms (professional social networks, CRM tools, email services, etc.) to execute automation flows. The Client acknowledges and agrees that:
- It is responsible for complying at all times with the terms and conditions of use of any third-party platform accessed through Sally.
- Sally does not guarantee that the use of its automation features is compatible with the current terms of third-party platforms, which may be modified at any time without prior notice.
- Sally shall not be liable for the suspension, restriction, or cancellation of the Client's account on any third-party platform arising from the use of Sally.
- The Client releases Sally from any claims arising from breaches of third-party platform terms.
6.3 Data Imported by the Client
When the Client imports their own contact data (via CSV, Excel, CRM integration, or other means), the Client represents and warrants that it has obtained such data lawfully and has the necessary legal bases for its processing. Sally will process data imported by the Client exclusively to provide the contracted service.
7. Economic Terms and Billing
⚠️ AUTOMATIC RENEWAL: READ CAREFULLY
The subscription automatically renews unless cancelled 30 days in advance by email to legal@heysally.io. All payments are final and non-refundable. See Section 7.5 for the cancellation procedure.
7.1 Plans, Prices and Order Form
The subscription plans generally available are:
- Pro Plan: USD 149 per month (monthly billing within an annual commitment).
- Enterprise Plan: USD 229 per month per user (monthly billing within an annual commitment).
For clients who enter into an Order Form, the Subscription Fee, number of Authorized Users, credits included, term, and any discounts or special conditions shall be as expressly set forth in that document. In the absence of an Order Form, the public rates in effect at the time of contracting shall apply.
The prices indicated do not include taxes, fees, or withholdings that may be applicable in the Client's jurisdiction, which shall be the Client's responsibility. Sally reserves the right to modify its public rates by notifying the Client at least 45 days before the annual renewal date. Any price modification shall take effect exclusively from the next Subscription Period; prices for the current period may not be unilaterally modified by Sally under any circumstances.
7.2 Billing and Payment Processing
Billing shall be monthly by charge to the payment method provided by the Client or in accordance with the billing frequency indicated in the applicable Order Form. Unless the Order Form provides otherwise, all payments shall be in United States dollars (USD) and shall be due within 30 days of the invoice date. The Client is responsible for keeping their payment method up to date. In case of non-payment, Sally may suspend access to the platform until payment is regularized, without this releasing the Client from its obligations during the committed Subscription Period.
Overdue payments (except amounts disputed in good faith) shall accrue late interest at 1.5% per month or the maximum applicable legal rate, whichever is lower.
7.3 Payment Processor: Stripe
Payments made through the Sally platform are processed by Stripe Inc. ("Stripe"), an external payment services provider. By providing payment data on the platform, the Client agrees to be bound by Stripe's Terms of Service and Privacy Policy, available at stripe.com/legal. The Client acknowledges that Sally does not store or have access to complete credit card or other payment instrument data; such data is tokenized and managed directly by Stripe in accordance with PCI-DSS standards.
7.4 Disputes and Chargebacks
If the Client initiates a dispute, claim, or chargeback with Stripe, their bank, or any other payment intermediary regarding charges made by Sally, Sally reserves the right to immediately suspend the Client's access to the platform until the dispute is fully resolved. Filing a frivolous chargeback shall be considered a material breach of these Terms and may result in immediate account termination without entitlement to a refund.
7.5 Cancellation
The Client may cancel automatic renewal of their subscription by sending an email to legal@heysally.io at least 30 days before the expiration date of the current Subscription Period. Cancellation shall only affect the renewal of the next period; the Client shall retain access and must pay the outstanding fees until the end of the current period.
7.6 No Refund Policy
All payments made are final and non-refundable. Sally does not issue full or partial refunds for any reason, including, without limitation, early cancellation, non-use of the service, dissatisfaction with the product, or changes in platform features. Subscriptions are non-cancellable during the current Subscription Period.
7.7 Service Units
The Services may include different units such as per-user licenses ("seats") and consumable credits for specific features. Unused credits expire at the end of the billing cycle and do not carry over to subsequent periods, unless expressly indicated otherwise in the Order Form.
8. Intellectual Property
8.1 Sally's Ownership
Sally and its licensors are the owners of all intellectual and industrial property rights over the platform, including its source code, algorithms, design, trademark, trade name, documentation, and any subsequent improvements or developments. These Terms do not transfer to the Client any ownership rights over the platform.
8.2 Client Data and Information
The Client retains ownership of all data, content, and information it enters or uploads to Sally. The Client grants Sally a limited, non-exclusive, royalty-free license to host, process, and use such data exclusively for the purpose of providing the contracted service.
8.3 Exported Data
The Client may export its data at any time during the subscription term through the export features available on the platform. After account cancellation or termination, Sally shall delete the Client's data within 60 days, unless applicable law requires retention for a longer period.
9. Professional Services
In addition to the platform subscription, Sally may offer the Client professional services in the form of support hours, training, or onboarding. These services are optional and are contracted independently of the subscription.
9.1 Nature and Contracting
Professional Services are an independent add-on to the subscription plan. Their contracting does not modify the conditions of the subscription in force nor entitle the Client to additional discounts or benefits, unless expressly agreed otherwise in the Order Form.
9.2 Modalities
Professional Services may include, without limitation:
- Onboarding sessions: initial platform configuration and Client team training.
- Training: training sessions on specific Sally features.
- General support: consulting sessions or resolution of questions about platform use.
9.3 Hours Bank and Validity
The contracted hours constitute a bank available during the current Subscription Period. Hours not used at expiration automatically expire without entitlement to a refund or carry-over to subsequent periods.
9.4 Use of Hours
The contracted hours may be used by any member of the Client's team linked to the same account. To use the hours, the Client must request the session with at least 48 business hours' notice through the contact channels indicated by Sally.
9.5 Price and Billing
The price of Professional Services shall be as indicated in the Order Form. Unless otherwise indicated, they are invoiced at the time of contracting and payment is due immediately. They are not subject to automatic renewal.
9.6 No Refund Policy
Contracted Professional Services hours are non-refundable once invoiced, regardless of the number of hours actually used.
9.7 Limitation of Liability
Sally's liability under Professional Services is limited to providing the agreed sessions with due diligence. Sally does not guarantee specific results from the Professional Services.
10. Availability and Service Level
Sally will make commercially reasonable efforts to keep the platform available, with a target availability of 99% per month, excluding scheduled maintenance and causes beyond its control. However, Sally does not guarantee a minimum level of service and shall not be liable for interruptions arising from scheduled maintenance, third-party infrastructure failures, force majeure, or Client-side connectivity issues.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SALLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITIES.
Sally's total and maximum liability to the Client, for any cause and regardless of the theory of liability invoked, shall in any event be limited to the total amount paid by the Client to Sally in the 3 months immediately preceding the event giving rise to the claim.
12. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information, not to disclose it to third parties without prior written consent, and to use it exclusively for the purposes contemplated in these Terms. This obligation shall remain in effect for 3 years after termination of the contractual relationship.
Information that is publicly known without breach of these Terms, previously known by the receiving party, lawfully received from a third party without restrictions, or that must be disclosed by legal or court order shall not be considered confidential.
13. Termination
13.1 Termination by the Client
The Client may cancel automatic renewal in accordance with Section 7.5. Early termination does not release the Client from payment of outstanding fees until the end of the committed period.
13.2 Termination by Sally
Sally may suspend or terminate the Client's access with immediate effect in the following cases:
- Serious or repeated breach of these Terms.
- Non-payment of two or more consecutive monthly installments.
- Use of the platform for illegal, fraudulent, or third-party harming activities.
- Force majeure preventing service provision for more than 30 days.
In case of termination due to causes attributable to Sally, the Client shall be refunded prepaid amounts corresponding to the unused days of the current period.
13.3 Effects of Termination
After termination, the Client's access shall cease immediately. Sally shall proceed to delete the Client's data within 60 days. Outstanding payment obligations and the provisions on intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.
14. Privacy and Data Processing
The processing of the Client's personal data is governed by Sally's Privacy Policy, available at heysally.io/privacy, which is incorporated into these Terms by reference.
With respect to personal data of contacts that the Client processes through Sally, the Client acts as data controller and Sally acts as data processor. The Client represents and warrants that it has adequate legal bases for the processing of such data and for sending commercial communications.
The Client is solely and exclusively responsible for ensuring that its use of Sally and the processing of personal data comply with applicable data protection regulations in its jurisdiction (including, without limitation, the GDPR, LOPDGDD, or other equivalent regulations).
If the Client is established in the European Union or processes personal data of individuals located in the EU, it may request a Data Processing Agreement (DPA) by writing to legal@heysally.io.
15. Modifications to the Terms
Sally reserves the right to modify these Terms. Two types of changes are distinguished:
- Minor changes: corrections of form, clarifications, or adjustments that do not materially affect the Client's rights. Notified 30 days in advance; continued use will constitute acceptance.
- Material changes: modifications that substantially affect the Client's rights. Notified 45 days in advance. If the Client does not accept a material change, it may terminate its subscription effective as of the date the change takes effect, without paying subsequent fees, provided it notifies its decision to legal@heysally.io before that date.
Price increases are governed exclusively by Section 7.1 and do not grant termination rights through this channel.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without prejudice to its conflict of law rules.
Any dispute that cannot be resolved amicably within 30 days of written notice shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), held in Newark, Delaware, in Spanish or English at Sally's choice.
The foregoing shall not prevent either party from seeking urgent injunctive relief before the competent courts when necessary.
17. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any executed Order Form, constitute the entire agreement between the parties. In case of conflict between these Terms and an Order Form, the Order Form conditions shall prevail in the aspects specifically regulated therein.
Severability. If any provision is declared invalid or unenforceable, it shall be modified to the minimum extent necessary to make it valid, without affecting the rest.
Waiver. Sally's failure to exercise any right shall not constitute a waiver thereof.
Assignment. The Client may not assign its rights or obligations without Sally's prior written consent. Sally may assign these Terms in the context of a merger, acquisition, or sale of assets.
Communications. All formal communications must be in writing. Communications to Sally must be sent to legal@heysally.io.
